Last updated: 27 July 2026
1. Scope of Application
These General Terms and Conditions apply to all contracts regarding the use of the SaaS platform PeakRing.io between Brudahärz GmbH and its customers.
PeakRing.io is intended exclusively for entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law and special funds under public law. Contracts with consumers are not concluded.
By completing the order process, the customer confirms that they are concluding the contract in the exercise of their commercial or independent professional activity.
Deviating terms of the customer shall only apply if Brudahärz GmbH has expressly agreed to their validity in text form.
2. Provider and Contracting Party
The provider and contracting party is:
Brudahärz GmbH
Hüttenstr. 45
45527 Hattingen
Germany
Email: hello@peakring.io
Further company details can be found in the Imprint.
Stripe and other payment service providers used are exclusively responsible for the technical processing of payments. They do not become a contracting party of the customer with respect to the use of PeakRing.io.
3. Subject Matter of the Contract
PeakRing.io is a cloud-based B2B SaaS platform for recording and evaluating call metadata.
Depending on the booked plan, the following functions may in particular be available:
- Recording of incoming, answered and missed calls
- Evaluation of reachability and call volume
- Assignment and management of tracking numbers
- Display of call status, duration and timestamps
- Statistical evaluations
- Revenue potential and profitability calculations
- Management of phone numbers and account settings
- Export of selected call and evaluation data
- Further functions specified in the respective plan
PeakRing.io does not store any call content or audio recordings.
The specific scope of services results from the respective booked plan, the service description in the order process and the plan information published on PeakRing.io.
Functions marked as beta, test or preview functions may be changed, restricted or discontinued.
4. Registration and Customer Account
Use of PeakRing.io requires the creation of a customer account.
The customer is obliged to provide complete and accurate information during registration. Changes to company, contact or payment data must be updated promptly in the customer account or communicated to PeakRing.io.
Access credentials must be kept confidential and protected from access by unauthorized third parties.
The customer is responsible for all actions carried out via their customer account, to the extent the customer is accountable for them.
In case of suspected unauthorized use, the customer must immediately inform PeakRing.io at hello@peakring.io.
5. Conclusion of Contract
The presentation of plans and services on PeakRing.io does not yet constitute a legally binding offer.
By completing the order process, the customer submits a binding offer to conclude a contract for the selected plan.
The contract is concluded as soon as Brudahärz GmbH:
- activates the booked plan,
- expressly confirms the order, or
- enables the customer to use the paid services.
A payment confirmation from Stripe documents the successful processing of the payment but does not replace the position of Brudahärz GmbH as the contracting party.
The contract text and the terms applicable at the time of conclusion of the contract may be provided to the customer electronically.
6. Free Trial Period
If offered on PeakRing.io, PeakRing.io can be tested free of charge for a period of 14 days.
The scope of services during the trial period may be limited compared to a paid plan. In particular, limits may apply to tracking numbers, call volume, retention periods, exports or other functions.
The free trial period does not automatically convert into a paid subscription.
A paid contract is only created if the customer actively selects a paid plan and completes the order process.
If no paid plan is concluded during or after the trial period, the trial account may, after expiry of the trial period, be restricted, deactivated or deleted in accordance with the Privacy Policy.
Brudahärz GmbH may limit the free trial period per company or customer and may refuse or terminate it in cases of apparent multiple registration or abusive use.
7. Prices, Value Added Tax and Payment Terms
The prices shown on PeakRing.io at the time of the order shall apply.
All prices are exclusive of the applicable statutory value added tax.
Billing takes place monthly or annually in advance, depending on the chosen plan.
Payment processing is carried out via Stripe. The terms and privacy notices of Stripe may additionally apply.
The customer is obliged to deposit a valid payment method and to ensure sufficient funds.
Invoices are generally provided electronically or sent to the email address stored by the customer.
In the event of a failed or overdue payment, Brudahärz GmbH may:
- request the customer to pay,
- have further payment attempts carried out,
- temporarily restrict or suspend access, and
- terminate the contract for good cause after an unsuccessful reasonable payment period.
Statutory claims for default remain unaffected.
8. Contract Term and Termination
Monthly subscriptions are concluded for one month and automatically renew for a further month each, unless terminated at the latest by the end of the current billing period.
Annual subscriptions are concluded for twelve months and automatically renew for a further twelve months each, unless terminated at the latest by the end of the current contract period.
Termination may be effected:
- via the cancellation function in the customer area, or
- by email to hello@peakring.io.
For clear identification, a cancellation by email should include the registered email address and the company name.
The termination ends the subscription at the end of the already-paid billing period. Until that point, the customer may generally continue to use PeakRing.io.
A pro rata refund of fees already paid will only be made in accordance with the Refund Policy or to the extent legally required.
The right of both parties to terminate for good cause remains unaffected.
9. Plans, Usage Limits and Excess Usage
The tracking numbers, user accounts, calls, evaluations, exports, retention periods and other usage limits included in a plan result from the applicable service description and the order process.
Upon reaching a plan limit, PeakRing.io may:
- inform the customer,
- offer an extension or a plan upgrade,
- restrict individual functions until the start of the next billing period, or
- charge additional usage according to the previously agreed terms.
A chargeable billing of excess usage shall only occur if the corresponding prices and conditions are transparently disclosed in the plan, in the order process or in a separate agreement and have been accepted by the customer.
PeakRing.io may request the customer to switch to a suitable plan in the event of repeated or significant exceeding of a usage limit.
10. Tracking Numbers and Telecommunications Providers
To the extent PeakRing.io provides the customer with tracking numbers, the technical provision takes place via PeakRing.io or a telecommunications provider used.
The customer receives a limited right of use to the assigned tracking numbers for the duration of the contract.
A claim to:
- a specific phone number,
- a specific area code,
- the permanent allocation of a phone number,
- the transfer of a phone number,
- the porting of a phone number, or
- continued use after the end of the contract
only exists if this has been expressly agreed in text form.
Tracking numbers may be exchanged for technical, regulatory or operational reasons. PeakRing.io will, where possible, inform the customer of a necessary exchange in good time.
After termination of the contract, assigned tracking numbers may be deactivated, returned to the telecommunications provider or, after a reasonable transitional period, reassigned otherwise.
The customer must not use tracking numbers unlawfully, abusively or contrary to the requirements of the respective telecommunications provider.
The customer remains responsible for call forwarding, telephone systems, mobile contracts and other customer-side systems.
11. Obligations of the Customer
The customer is obliged to:
- use PeakRing.io only within the framework of applicable laws,
- ensure the data protection lawfulness of their use,
- inform data subjects about the call tracking used where necessary,
- ensure the necessary legal bases and consents themselves,
- keep access credentials secure,
- not undertake any unlawful or abusive actions,
- not circumvent any technical protection measures,
- not introduce malware or harmful content,
- not use PeakRing.io for the unlawful surveillance of persons,
- only use phone numbers and data to the use of which they are entitled,
- check the functionality of their call forwarding and telephone system.
The customer is solely responsible for the call forwarding, destination numbers, telephone systems, integrations, privacy notices and other customer-side settings set up by them.
Before productive use, the customer must carry out test calls and check whether calls are correctly forwarded and recorded.
12. Data Protection and Data Processing
The processing of personal data takes place in accordance with the Privacy Policy and the applicable data protection laws.
To the extent PeakRing.io processes personal data on behalf of the customer, the parties shall, before the start of the respective processing, conclude a data processing agreement pursuant to Art. 28 GDPR.
The data processing agreement may be provided to the customer electronically and may become part of the contractual relationship by electronic confirmation.
The customer remains the controller for:
- the lawfulness of the processing,
- the selection of the data processed,
- the fulfillment of information obligations,
- the handling of data subject rights, and
- the determination of permissible retention and deletion periods,
to the extent these obligations lie with the customer under the applicable data protection laws.
PeakRing.io processes personal data only on documented instructions of the customer, unless there is a statutory obligation to process the data differently.
13. Availability and Maintenance
PeakRing.io is provided within the framework of technical and operational possibilities.
There is no entitlement to uninterrupted or error-free availability at all times, unless a separate service level agreement has been concluded.
Temporary restrictions may in particular arise due to:
- maintenance work,
- security measures,
- technical disruptions,
- outages of hosting or telecommunications providers,
- disruptions of Stripe or other payment service providers,
- disruptions of public communication networks,
- force majeure, or
- necessary adjustments due to statutory or regulatory requirements.
Planned maintenance work is carried out, where possible, in such a way that usage is impaired as little as possible.
14. Changes and Further Development
Brudahärz GmbH is entitled to further develop PeakRing.io technically, visually and functionally.
Reasonable changes that do not affect the essential purpose of the contract may be made, in particular if they:
- serve to improve security,
- take technical developments into account,
- implement statutory requirements,
- prevent abuse, or
- improve usability.
Material changes that significantly impair the agreed scope of services will be communicated to the customer in good time.
To the extent a material change is unreasonable for the customer, their statutory rights and any special termination rights granted remain unaffected.
15. Data Export, Retention and Deletion
During the term of the contract, the customer may export the data available in the customer area within the framework of the provided export functions.
After the end of the contract, PeakRing.io may grant the customer a transitional period of up to 30 days for a final data export, unless statutory, security-related or technical reasons preclude this.
The customer is responsible for exporting required data in good time before the end of the contract or expiry of the transitional period.
After expiry of the transitional period, data will be deleted or anonymized in accordance with:
- the Privacy Policy,
- the data processing agreement,
- agreed deletion periods, and
- statutory retention obligations
and then deleted or anonymized.
Data subject to statutory retention obligations may be stored in a blocked state for the duration of the respective retention period.
16. Suspension of Access
Brudahärz GmbH may temporarily suspend access to PeakRing.io in whole or in part if:
- payment arrears exist,
- a concrete suspicion of abuse exists,
- security risks exist,
- statutory or official requirements make this necessary,
- the customer breaches material contractual obligations,
- unauthorized access is suspected, or
- the use jeopardizes the stability or security of the platform.
The customer will be informed of the suspension and its reason, unless statutory, official or security-related reasons preclude this.
The suspension will be lifted as soon as the reason no longer applies and a further suspension is no longer necessary.
17. Revenue Calculator and Economic Evaluations
The revenue potential, profitability and projection calculations provided by PeakRing.io are based on parameters entered by the customer or determined by the platform.
The values displayed are non-binding model calculations.
PeakRing.io gives no guarantee that:
- the calculated revenues will actually be achieved,
- missed calls would have led to orders,
- a particular conversion rate will be achieved, or
- the use will result in particular savings or economic results.
The calculations do not replace individual business, tax or legal advice.
18. Liability
Brudahärz GmbH is liable without limitation:
- in cases of intent,
- in cases of gross negligence,
- for damages resulting from injury to life, body or health,
- under the Product Liability Act,
- in cases of fraudulent concealment of a defect, and
- to the extent of an expressly assumed guarantee.
In the event of a slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical for the contract at the time the contract was concluded.
Material contractual obligations are those obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely.
Otherwise, liability for slight negligence is excluded.
The limitations of liability also apply in favor of the statutory representatives, employees and vicarious agents of Brudahärz GmbH.
Brudahärz GmbH is not liable for outages, incorrect forwarding or data discrepancies caused by:
- telecommunications providers,
- network operators,
- the customer's telephone systems,
- misconfigurations on the customer's side,
- hosting providers,
- Stripe,
- public communication networks, or
- other external systems
to the extent Brudahärz GmbH is not responsible for these circumstances.
The customer remains obliged to avoid or mitigate damage through reasonable measures.
19. Rights to the Software
PeakRing.io and all associated software components, user interfaces, trademarks, texts, designs and database structures remain the property of Brudahärz GmbH or the respective rights holders.
For the duration of the contract, the customer receives a simple, non-exclusive, non-transferable and non-sublicensable right to use PeakRing.io to the extent contractually agreed.
In particular, the customer must not:
- reproduce or resell the software,
- pass on access credentials to third parties without authorization,
- reverse engineer the software, unless mandatorily permitted by law,
- circumvent technical protection measures, or
- read out or use PeakRing.io to build a competing service.
20. Confidentiality
The parties undertake to keep confidential information of the respective other party secret and to use it exclusively for the performance of the contract.
In particular, non-publicly known technical, commercial and operational information is considered confidential.
The obligation does not apply to information that:
- is already publicly known,
- becomes publicly known without a breach of duty,
- was already lawfully known to the receiving party, or
- must be disclosed due to statutory or official obligations.
Statutory data protection obligations remain unaffected.
21. Changes to these Terms
Brudahärz GmbH may change these Terms if there is a valid reason for doing so, in particular due to:
- statutory changes,
- new case law,
- technical developments,
- changes to the services offered, or
- necessary security or compliance adjustments.
Changes will be communicated to the customer in text form.
Changes that significantly shift the contractual balance to the disadvantage of the customer are not deemed accepted merely due to an omitted objection. In such a case, express consent must be obtained, or the customer must be granted a reasonable right of termination.
22. Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship is the registered office of Brudahärz GmbH.
Place of performance is the registered office of Brudahärz GmbH, to the extent legally permissible.
Should individual provisions of these Terms be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. The statutory provisions shall take the place of the invalid provision.
